Terms of Service

1. Acceptance of Terms

By accessing or using Pixelbase services, you agree to be bound by these Terms of Service, all additional policies available at pxb.app/legal, and all applicable laws and regulations. If you do not agree with any of these terms or policies, you are prohibited from using or accessing our services.

2. Description of Service

Pixelbase provides a business management platform that covers everything you need to run your business. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

Certain paid features — including entity formation, registered agent, and Auto-Compliance — are governed by our separate Entity Services Agreement. In the event of a conflict between these Terms and the Entity Services Agreement with respect to those services, the Entity Services Agreement controls.

Business licensing is not included. Auto-Compliance and our other entity services are limited to statutory maintenance filings (such as annual reports, franchise taxes, registered agent maintenance, and BOIR filings when required). They do notinclude the identification, application for, renewal of, or maintenance of any business licenses, permits, or registrations — including without limitation general city/county business licenses, professional or occupational licenses, industry-specific licenses (e.g., liquor, food service, cannabis, healthcare, contractor), sales tax and seller's permits, DBA/fictitious name filings, and foreign qualification in states beyond the state of formation. Obtaining and maintaining all such licenses and registrations is your sole responsibility, and Pixelbase has no liability for any consequence arising from your failure to do so. 3. User Accounts

To access certain features of our service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete information when creating your account
• Update your information to keep it current
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with third parties

4. Subscription and Billing

Some features of Pixelbase require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these terms.

5. User Content

You retain ownership of any content you submit, post, or display through our service. By submitting content, you grant Pixelbase a worldwide, non-exclusive license to use, store, and process that content solely for the purpose of providing our services to you.

6. SMS/Text Message Communications

Pixelbase uses SMS in two distinct ways, each with its own consent path. Consent to receive non-essential SMS is never a condition of creating an account or using our services.

a. Transactional verification codes.

When you voluntarily enter your phone number to sign in or verify a change to your account, we send a one-time verification code to that number to confirm you own it. This message is initiated by your own action. Standard message and data rates may apply.

b. Account notifications (optional, opt-in only).

We will not send you any other SMS messages unless you separately and explicitly enable the “Enable SMS Notifications” toggle in your Notification Settings. This toggle is off by default. After enabling it, you further choose which notification categories you want delivered via SMS (for example: security alerts, organization updates, appointment reminders). Message frequency varies based on the categories you select. Standard message and data rates may apply.

You may opt out at any time by replying STOP to any message or by toggling Enable SMS Notifications off in your Notification Settings. After opting out, you will receive a single confirmation message and no further account-notification texts. Opting out of account notifications does not affect your ability to receive user-initiated verification codes. You may opt back in by replying START or re-enabling the toggle. 7. Prohibited Uses

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, or impair our services. Prohibited activities include but are not limited to those outlined in our Acceptable Use Policy.

8. Intellectual Property

The Pixelbase service, including its original content, features, and functionality, is owned by Pixelbase Inc. and is protected by international copyright, trademark, patent, and other intellectual property laws.

9. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the service will cease immediately.

10. Limitation of Liability

In no event shall Pixelbase, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses resulting from your use of our services.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the new Terms of Service on this page and updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the modified terms.
