Tax Services Agreement
Terms governing Pixelbase tax features — Automated Taxes, liability projections, and the tax preparation and filing tools.
This Tax Services Agreement ("Agreement") governs your use of the tax features provided by Pixelbase Inc ("Pixelbase," "we," "us," or "our") through the Pixelbase platform — including the Automated Taxes service and the tax preparation and filing tools that estimate your liability and generate pre-filled tax forms. By enabling Automated Taxes or using the tax preparation tools, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, as well as our Terms of Service and Privacy Policy.
1. Scope of Services
When enabled, Automated Taxes provides the following software-driven services (collectively, the "Tax Services") for the legal entity you connect:
- Tax Calculation: Estimating your tax liability by applying general federal tax rules to the income, expense, and transaction data captured on the platform.
- Real-Time Projections: Surfacing an ongoing, year-to-date projection of your estimated tax liability so you can plan ahead.
- Filing Preparation: Organizing your financial data and generating pre-filled tax forms, and notifying you at year end to review your filings and make any necessary adjustments.
Pixelbase provides these tax features as software tools. We are not a tax preparation service, accounting firm, certified public accountant (CPA), enrolled agent, or tax attorney, and the Tax Services do not constitute tax advice. When you use the tax preparation tools, you are preparing your own tax return — the software automates organizing your data and filling in form fields based on the information you provide and authorize. No employee, agent, or representative of Pixelbase reviews, signs, or submits your tax return on your behalf.
2. Projections Are Estimates Only
The tax figures, projections, and liabilities presented through Automated Taxes are estimates generated by applying general rules to the data available on the platform. They are provided for planning and informational purposes only and should not be relied upon as a final determination of the tax you owe. Tax law is complex and fact-specific, and our software may not account for your particular circumstances, deductions, credits, or filing obligations.
Actual tax liability depends on information that may not be reflected on the platform, on the completeness and accuracy of your financial records, and on changes in law. You are responsible for reviewing every figure before relying on it.
3. Your Responsibility
Enabling Automated Taxes does not transfer responsibility for your taxes to Pixelbase. You remain solely responsible for:
- The accuracy and completeness of all income, expense, deduction, and transaction data captured or entered on the platform.
- Reviewing all figures on any projection or generated tax form before relying on, signing, or filing it.
- Signing and filing your tax returns with the appropriate federal, state, and local authorities by the applicable deadlines.
- Paying any taxes, penalties, or interest owed to any tax authority.
- Determining and fulfilling any state and local tax obligations. The tax preparation tools currently generate federal tax forms only, and you may have additional state and local filing obligations that our tools do not address.
- Seeking professional tax advice from a qualified CPA, enrolled agent, or tax attorney for questions specific to your situation.
4. Authorization
By enabling Automated Taxes, you authorize Pixelbase to:
- Access and process the financial, income, expense, and transaction data associated with your company and connected legal entity for the purpose of providing the Tax Services.
- Generate tax projections and pre-filled tax forms based on that data and the information you provide.
- Notify you of upcoming deadlines, required reviews, and adjustments relevant to your filings.
- Charge the recurring fee for Automated Taxes as described in Section 6.
5. No Guarantee of Accuracy or Outcomes
While we strive to correctly map your financial data to the appropriate tax rules and form fields, we do not guarantee the accuracy, completeness, or correctness of any projection or generated tax form. Pixelbase makes no representations or warranties regarding:
- Whether a generated form will be accepted by the IRS or any state or local tax authority.
- The correctness of any tax calculation, projection, deduction, credit, or classification.
- Whether your return is complete — additional schedules, forms, or disclosures may be required based on your specific situation.
- Any particular tax outcome, refund amount, or resulting liability.
6. Fees and Payment
Automated Taxes is billed as a recurring monthly fee per connected legal entity, at the price presented when you enable the service. You agree that:
- The recurring fee is charged in accordance with your subscription agreement for as long as the service remains enabled.
- The service fee does not include, and Pixelbase does not pay, any taxes, penalties, interest, or government filing fees you may owe. Those remain your responsibility.
- You may disable Automated Taxes at any time; upon disabling, you assume full responsibility for calculating and filing your own taxes.
- Pixelbase reserves the right to adjust the recurring fee upon thirty (30) days' notice. Continued use after the effective date of a fee change constitutes acceptance.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Pixelbase shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Tax Services, including but not limited to:
- Errors or omissions in projections or generated tax forms.
- Penalties, interest, or additional taxes assessed by any tax authority.
- Missed filing deadlines.
- Incorrect categorization of transactions or misapplication of tax rules by the software.
- Reliance on any output of the Tax Services without independent verification.
In no event shall Pixelbase's total aggregate liability exceed the fees you paid for Automated Taxes during the twelve (12) months preceding the event giving rise to the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Pixelbase Inc, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to your use of the Tax Services, the accuracy of the data you provide, your tax filings, or your failure to comply with applicable tax laws.
9. No Legal, Tax, or Financial Advice
Nothing provided by Pixelbase through the Tax Services, documentation, user interface, or any other medium constitutes tax advice, legal advice, or financial advice. Any decisions regarding your taxes, deductions, credits, and filings are your sole responsibility, and you should consult a qualified professional for guidance specific to your situation.
10. Data Handling and Privacy
Tax-related data, including Employer Identification Numbers (EINs), Social Security Numbers (SSNs), financial transaction data, and generated tax forms, is handled in accordance with our Privacy Policy and Data Retention Policy. We employ industry-standard encryption and access controls to protect your tax data. However, you acknowledge that no system is completely secure, and you accept the inherent risks of transmitting sensitive financial information electronically.
11. Termination
Either party may discontinue the Tax Services at any time. You may disable Automated Taxes from your platform settings, and Pixelbase may suspend or terminate the service for non-payment, breach of this Agreement, or where continued service would expose Pixelbase to legal or regulatory risk. Upon termination, you are solely responsible for calculating, preparing, and filing your own taxes.
12. Modifications to this Agreement
Pixelbase reserves the right to modify this Agreement at any time. We will notify affected Clients of material changes via email or through the platform. Continued use of the Tax Services after the effective date of modifications constitutes acceptance of the revised terms.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any legal proceedings shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.
